1. Acceptance of These Terms
These Terms of Use (the "Terms") govern your access to and use of orabite.com and any webpages, content, features, communications and online services made available through it (collectively, the "Site"). The Site is operated under the ORABITE™ brand ("ORABITE™," "we," "us" or "our").
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site for a dental practice, clinic, laboratory or other organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Intended Users
You must be at least 18 years old and legally capable of entering into a binding agreement to use any purchasing, account or professional features of the Site. The Site provides information for dental professionals and general information for patients and other visitors. Professional-only materials are intended only for appropriately licensed or authorized dental professionals.
3. Information Only - Not Dental or Medical Advice
Site content is provided for general educational, marketing and product-information purposes. It is not dental or medical advice and is not a substitute for examination, diagnosis, treatment planning, informed consent or follow-up by a qualified dental or healthcare professional.
Do not disregard or delay professional advice because of information on the Site. If you have pain, swelling, bleeding, an allergic reaction, difficulty breathing or another urgent concern, stop using the relevant product and seek appropriate professional or emergency care.
4. Dental-Professional Responsibility
Dental professionals are independent practitioners and are solely responsible for their professional services and clinical decisions, including patient selection, diagnosis, prescriptions, treatment plans, intraoral scans or impressions, material selection, instructions, appliance fit, delivery, monitoring and follow-up. ORABITE™ does not direct or control the practice of dentistry and does not create a dentist-patient relationship through the Site.
A dental professional must review the patient's health history, suitability, risks, contraindications and applicable product instructions before prescribing, dispensing or recommending an ORABITE™ product. Product availability, regulatory status, indications and permitted claims may vary by jurisdiction.
5. Product Use and Results
ORABITE™ products must be used only as directed by the treating dental professional and the instructions supplied with the product. Do not modify, share, transfer or use a custom appliance made for another person. Keep products away from children except under direct adult and professional supervision.
Individual comfort, fit, wear, whitening response and other outcomes vary. Images, examples, testimonials and descriptions on the Site are illustrative and do not guarantee a particular clinical or cosmetic result. Stop use and contact the treating dental professional if an appliance becomes damaged, no longer fits, causes persistent discomfort or produces an unexpected reaction.
6. Clinical Data and the Seazona Platform
The Site is not designed or authorized to receive patient records, prescriptions, intraoral scans, impressions, photographs or other personal health information. Do not send clinical information through general Site forms or to the public contact email.
Clinical case submission and related records are handled through Seazona, a separate third-party platform. Your access to and use of Seazona are governed by Seazona's own terms and privacy practices, including its Privacy Policy at https://www.seazona.com/privacy.htm. ORABITE™ does not control Seazona's platform, security, availability or data-handling practices.
7. Orders, Pricing and Availability
If the Site permits orders, reorder requests or payments, product listings are invitations to submit an order and not binding offers. An order is accepted only when acceptance is confirmed or the product is shipped. We may reject or cancel an order, limit quantities, correct pricing or description errors, or discontinue products, subject to applicable law.
Prices are shown in the currency stated on the Site and may exclude taxes, shipping, duties or professional fees unless expressly stated otherwise. Estimated production and delivery times are not guaranteed. Any separate written warranty, return, remake, cancellation or shipping policy presented at checkout or supplied to a dental practice forms part of these Terms for the applicable transaction.
8. Accounts and Account Security
If account features are offered, you must provide accurate, current information; keep credentials confidential; restrict access to authorized users; and promptly notify us of suspected unauthorized activity. You are responsible for activity under your account to the extent permitted by law. We may suspend or restrict access to protect the Site, users or third parties.
9. Permitted Use
You may use the Site only for lawful purposes and in accordance with these Terms. You must not:
access or use the Site in a way that violates applicable law, professional obligations or another person's rights;
submit false, misleading, infringing, harmful or unlawful content;
attempt to gain unauthorized access to the Site, accounts, systems or networks;
introduce malware, scrape the Site at unreasonable volume, interfere with security or operation, or bypass technical restrictions;
copy, republish, sell, sublicense, reverse engineer or commercially exploit Site content except as expressly permitted in writing; or
use ORABITE™ names, marks, product images or materials in a manner that is deceptive, defamatory or likely to imply an unauthorized endorsement or relationship.
10. Intellectual Property
The Site and its content, including text, designs, graphics, photographs, videos, product names, trade dress, software and other materials, are owned by or licensed to ORABITE™ and are protected by intellectual-property laws. ORABITE™ and associated names, logos and marks are trademarks or trade names of their respective owner. Patent notices identify pending or granted rights where applicable.
We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for its intended purpose. No other rights are granted. Dental professionals may use expressly designated patient-education or practice materials only within the scope and branding conditions stated with those materials.
11. Feedback and Non-Clinical Submissions
If you send non-clinical suggestions, reviews, ideas or other feedback, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, adapt and communicate that feedback for lawful business purposes without compensation, while respecting applicable privacy law. Do not submit confidential business information, patient information or content you do not have the right to provide.
12. Third-Party Services and Links
The Site may link to or integrate with third-party websites, payment providers, shipping providers, social platforms or software services. Those services are independently operated and governed by their own terms and privacy policies. A link or integration does not mean that we endorse or control the third party. Your use of third-party services is at your own risk, subject to applicable law.
13. Privacy and Electronic Communications
Our collection, use and disclosure of personal information through the Site are described in the ORABITE™ Privacy Policy. By providing electronic contact information, you consent to receive transactional or service communications relating to your inquiry, account or order. Marketing communications will be sent only as permitted by law, and you may unsubscribe using the method provided in the message.
14. Site Availability and Changes
We may update, suspend, withdraw or change the Site, its content or features at any time. We do not guarantee that the Site will always be available, uninterrupted, secure or error-free, or that content will always be complete, current or accurate. We may correct errors without notice.
15. Disclaimers
To the maximum extent permitted by law, the Site and its content are provided "as is" and "as available." We disclaim all representations, warranties and conditions not expressly stated in writing, whether express, implied, statutory or collateral, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted availability.
Nothing in these Terms excludes any warranty, condition, guarantee or right that cannot lawfully be excluded or limited, including applicable consumer-protection rights.
16. Limitation of Liability
To the maximum extent permitted by law, ORABITE™, its affiliates, licensors, suppliers and their respective directors, officers, employees, contractors and agents will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profits, revenue, business, data, goodwill or opportunity, arising from or relating to the Site.
To the maximum extent permitted by law, the total aggregate liability arising from or relating to the Site will not exceed the greater of: (a) the amount you paid directly through the Site in the six months before the event giving rise to the claim; and (b) CAD $100. These limits do not apply to liability that cannot lawfully be limited, including liability resulting from fraud, wilful misconduct or any other matter for which exclusion is prohibited by law.
17. Indemnity
To the extent permitted by law, you agree to defend, indemnify and hold harmless ORABITE™ and the parties listed in Section 16 from third-party claims, damages, liabilities, costs and reasonable legal fees arising from your unlawful misuse of the Site, your breach of these Terms, or content you submit. This section does not require a consumer to indemnify us for our own negligence or conduct where prohibited by law.
18. Suspension and Termination
We may suspend or terminate your access to the Site if we reasonably believe you have violated these Terms, created a security or legal risk, or misused the Site. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limits, indemnity, governing law and general provisions.
19. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on the Site with a new "Last updated" date. Changes apply prospectively from the stated effective date. If required by law, we will provide additional notice or obtain consent. Continued use of the Site after the effective date constitutes acceptance of the revised Terms.
20. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Subject to any mandatory rights you may have under applicable law, the courts located in Ontario will have exclusive jurisdiction over disputes arising from or relating to the Site or these Terms.
21. General
If any provision of these Terms is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them as part of a reorganization, financing, sale or transfer of all or part of our business, subject to applicable law. These Terms, together with policies expressly incorporated by reference, are the entire agreement concerning the Site and supersede prior discussions concerning Site use.
